Agreement to these terms

These Terms and Conditions ("Terms") govern your use of directiveconsultinggroup.com (the "Site") and any communications and fit calls arranged through it. The Site is operated by Directive Consulting Group ("Directive," "we," "us"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

What we offer

Directive provides operations and leadership consulting, including leadership development, training systems, P&L management, cost control, culture development and strategic growth planning. The Site describes our services and lets you request a conversation.

The fit call

A fit call is a short conversation to learn about your business and decide together whether working with us makes sense. It is free and creates no obligation for either side. A fit call is a discussion, not a diagnosis, audit or formal recommendation. Analysis, diagnosis, recommendations and implementation work are part of a paid engagement.

Paid engagements

Paid work begins only when you and Directive sign a written agreement or proposal that sets out the scope, timeline, fees and payment terms. If that agreement conflicts with these Terms, the signed agreement controls for that work. Nothing on the Site is an offer that can be accepted without that written agreement, and prices are not published on the Site.

No guarantee of results

We bring real experience and a disciplined process, but results depend on many factors outside our control, including your market, your team and how fully the work is carried out. Examples, figures and experience described on the Site are not a promise or guarantee that you will achieve the same results. Any specific commitment must be in a signed agreement.

Directive provides business consulting. We are not a law firm, accounting firm or financial adviser, and nothing on the Site is legal, tax, accounting, financial, medical or employment advice. Please consult a qualified professional for those matters.

Using the Site

You agree to use the Site only for lawful purposes. You will not:

  • Interfere with or disrupt the Site or its security
  • Attempt to access areas or data you are not authorized to reach
  • Use bots, scrapers or similar tools without our written permission
  • Submit false, misleading or unlawful information
  • Use the Site to send us spam or unsolicited promotions

Intellectual property

The Site and its content, including text, graphics, logos, the Directive name and marks, design, and frameworks such as our assess, standardize, train, inspect, correct and repeat approach, belong to Directive or its licensors and are protected by law. You may view and share links to the Site for personal or internal business purposes. You may not copy, modify, distribute, sell or create derivative works from our content without our written permission.

If you send us feedback or ideas, you allow us to use them without owing you anything, unless a signed agreement says otherwise.

Information you share with us

We treat what you tell us about your business as confidential and use it only to evaluate and deliver our services, as described in our Privacy Policy. If you need a formal non-disclosure agreement before sharing sensitive information, ask us and we will gladly sign one. Please do not send trade secrets, payment details, government ID numbers or other highly sensitive data through the Site or in a fit call booking.

Calls, email and text messages

When you book a call or give us your phone number or email address, you agree that we may contact you about your request. If you opt in to text messages, message frequency varies, message and data rates may apply, and you can reply STOP to opt out or HELP for help. Consent to receive texts is not a condition of any purchase. See our Privacy Policy for how we handle this information.

Third party services and links

The Site relies on third party tools, such as scheduling, calendar, video meeting and customer relationship platforms, and may link to other websites. Those services have their own terms and policies, and we are not responsible for them.

Disclaimer of warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error free.

Limitation of liability

To the fullest extent permitted by law, Directive and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site or reliance on its content. Our total liability for any claim relating to the Site will not exceed one hundred dollars ($100). Liability for paid services is governed by the signed agreement for those services.

Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.

Indemnification

You agree to defend and hold Directive and its owners, employees and contractors harmless from claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your violation of these Terms or of any law.

Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules. You and Directive agree that any dispute arising from these Terms or the Site will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction. Before filing a claim, each side agrees to first try in good faith to resolve the matter by contacting the other.

Changes to these terms

We may update these Terms from time to time. The effective date at the top of this page shows when they last changed. Continued use of the Site after a change means you accept the updated Terms.
